Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of MPire Services LLC's ("MPire," "we," "us") website at mpserves.com and the Goldie AI service (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
The Service is intended for licensed real estate professionals in the United States. You must be at least 18 years old and legally authorized to enter into contracts in your jurisdiction. By using the Service, you represent that you meet these requirements.
3. The Service
MPire provides Goldie, an AI-powered assistant that:
- Reads your Gmail inbox via Google OAuth to generate email draft responses
- Maintains a database of your clients and leads
- Delivers a personalized morning brief summarizing your pipeline and priorities
- Tracks your real estate pipeline and flags at-risk deals
- Imports contacts from a connected CRM and CSV files
All drafts generated by Goldie require your explicit approval before being sent. We do not send emails on your behalf without your review and confirmation.
4. Account Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at mcoleman@mpserves.com if you suspect unauthorized access. You may not share your account with others or create accounts on behalf of third parties without our written consent.
5. Subscriptions and Billing
First Month: The first 5 clients receive their first month of service at no cost. No payment method is required to sign up, and no charge occurs during this period.
Subscription Rate: MPire offers three plans (Solo Start, Full Empire and Empire Partner), with current monthly and annual prices listed on our Pricing page. You choose a plan when you subscribe, and the price you see when you subscribe is the price you pay. We will give you at least 60 days' written notice before changing the price of an existing subscription.
Billing: Subscriptions are billed via Stripe, monthly or annually depending on the billing option you choose, on your billing anniversary date. All payments are in USD.
No Contracts: Subscriptions are month-to-month. There are no long-term commitments or cancellation fees.
30-Day Guarantee: If you do not receive drafts you would approve within the first 30 days of your subscription, we will issue a full refund upon request. Refund requests must be made within 33 days of your subscription start date.
Failed Payments: If a payment fails, we will notify you and attempt to retry. Access may be suspended after 5 business days of non-payment.
6. Cancellation
You may cancel your subscription at any time by emailing mcoleman@mpserves.com or through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial months except under the 30-day guarantee.
7. Acceptable Use
You agree not to use the Service to:
- Send spam, misleading communications, or communications that violate CAN-SPAM or other applicable laws
- Violate any applicable real estate regulations or fair housing laws
- Impersonate another person or misrepresent your identity to clients
- Attempt to reverse-engineer, scrape, or extract data from the Service
- Use the Service for any purpose other than your own licensed real estate business
- Share your account credentials with others or resell access to the Service
8. AI-Generated Content
Goldie uses AI to generate email drafts and briefings. You acknowledge that:
- AI-generated content may occasionally be inaccurate, inappropriate, or require editing before use
- You are solely responsible for reviewing all drafts before approval and sending
- MPire is not responsible for the outcome of any communication you send using Goldie-generated drafts
- Goldie's drafts do not constitute legal, financial, or professional real estate advice
9. Google Integration
By connecting your Google account, you authorize MPire to access your Gmail as described in our Privacy Policy. You can revoke this access at any time through your Google Account settings. Revoking access will disable Goldie's core email and briefing functionality.
10. Intellectual Property
MPire owns all rights to the Service, including its code, design, branding, and underlying technology. Your data (emails, client information, pipeline data) remains yours — we do not claim ownership over your content. You grant MPire a limited license to process your data solely to deliver the Service to you.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. MPIRE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. USE OF THE SERVICE IS AT YOUR OWN RISK.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MPIRE'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO MPIRE IN THE THREE MONTHS PRECEDING THE CLAIM. MPIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
13. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wake County, North Carolina.
14. Changes to Terms
We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before any material changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
